The team is active in sourcing ERPA, debt finance and private equity type investment opportunities globally and is responsible for the structuring, negotiation and execution of transactions and their ongoing management thereafter.

In a fast growing and changing market place, EEA requires a highly motivated and experienced General Counsel to join the existing team.


Job Description:
EEA is seeking to appoint a General Counsel to be based in London and advise and manage legal affairs of EEA’s carbon & clean energy investment team. The General Counsel would work principally with deal managers on the structuring and negotiation of contracts, managing the appointment and ongoing relationship with external counsel where required.


Specific responsibilities will include:
• Working with deal managers to design, negotiate and execute efficient transaction structures to acquire carbon credits through direct purchase, debt, equity and corporate acquisition
• Drafting and review of early stage deal documents, such as NDAs, term sheets, MoUs.
• Advise on and draft final agreements for structured deals including joint venture, subscription and shareholder agreements, purchase agreements, including security documentation
• Advise on commercialisation contracts, both ISDA and IETA with target partners and development of tailored in-house structures for asset divestment
• Conducting or managing the outsourcing of legal due diligence on potential investments
• Management of any legal proceedings
• Recruitment and management of EEA / TEP external counsel for specific deals
• Refining EEA / TEP corporate internal legal procedures and policies
• Ongoing revision of in-house legal template contract documentation to ensure consistency with continuous market / policy developments
• Remain well informed on regulatory / legal aspects of the carbon market
• Assist as required on other EEA legal affairs (non-carbon)


Qualifications and Experience:
• Solicitor / legal counsel with experience of working in private practice and / or in-house, at least four years’ qualified, preferably in English law.
• Proven experience in M&A and financial structures including private equity investment and leveraged finance
• Demonstrable interest and expertise in carbon / renewable energy / clean technology markets
• Familiarity with IETA and ISDA template contracts would be an advantage
• Emerging market experience and a second language (Mandarin, Spanish, Portuguese) would be an advantage


Skills required:
• A strong analytical background, able to communicate effectively, both orally and in writing.
• High energy with the ability to thrive in an entrepreneurial environment and handle multiple assignments effectively
• Commercial outlook and self-starter
• Understanding of international carbon markets
• Superior PC skills (Excel, PowerPoint, Word)
