Conservation International (CI) is a non-profit institution headquartered in Arlington, Virginia and working in over 43 countries to ensure a healthy and productive planet for us all.
 
We are seeking a Legal Advisor for the Ecosystem Finance Division (EFD). EFD provides conservation financing, mostly through grants and loans, to a wide range of partners. It does so through several funds, including the Global Conservation Fund, Verde Ventures and the Carbon Fund. 
The Global Conservation Fund (GCF) finances the creation, expansion and long-term management of priority areas for conservation.  Verde Ventures (VV) is an investment fund that provides support for small- and medium-sized businesses that contribute to healthy ecosystems and human well-being.  The Carbon Fund supports the design and start-up costs of early-stage forest restoration and conservation projects, and aids in the commercialization of carbon credits through private sector partnerships.
The Legal Advisor will work together with two other lawyers and a legal assistant to provide legal advice to the various EFD funds. This will require working as part of a team with other EFD fund personnel, other headquarter staff and field programs. The Legal Advisor will also work with external partners such as government agencies, conservation organizations, corporate partners and local communities.
 
Successful candidates will have a passion for conservation and development, will take an innovative approach to meeting new challenges and will exhibit diplomacy and a team based approach in achieving action with multidisciplinary groups.
 
RESPONSIBILITIES:
 
Global Conservation Fund
 
The Legal Advisor will primarily be responsible for developing and closing transactions for grants of endowment capital and debt for nature swaps. Duties will include: 
  • Diligence on long term conservation tenure for protected areas;
  • Structuring endowments, including drafting or review of governance documents;
  • Diligence on external partners; and
  • Drafting long term financing documents.
 
Verde Ventures
 
The Legal Advisor will provide legal assistance for Verde Ventures loan transactions, including:
 
  • Helping to structure transactions;
  • Conducting legal due diligence on borrowers and related projects; and
  • Preparing loan and other transaction documents.
 
Carbon Fund
 
The Legal Advisor will provide legal assistance to the Carbon Fund, mostly for forest carbon offset projects, including:
 
  • Drafting or review of grant agreements with donors contributing to Carbon Fund transactions;
  • Coordinating legal analysis of forest carbon rights;
  • Helping to structure transactions and providing relevant input on project documents.
 
 
Working Conditions:
  • Considerable travel to foreign countries to meet with foreign governments, foreign non governmental organizations, other project stakeholders, and local counsel and conduct negotiation sessions with any such partners is required.
 
 
QUALIFICATIONS:
 
Required:
 
  • Law degree. 
  • At least two years experience at a corporate law firm doing corporate transactional work (m&a, corporate finance, capital markets, securitization, private equity). 
  • Ability to advise on structure and identify optimal transaction structure, conduct due diligence, draft principal transaction documents, assess risk, conduct negotiations, lead transactions, communicate effectively, manage time and process, provide advice to a non-legal audience.
 
Preferred:
  • Spanish, French and/or Portuguese language skills highly beneficial.
  • Experience in carbon finance and international economic development work.
